11. Force Majeure

Epicure Robotics Pvt. Ltd. shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions to the extent that such failure or delay is caused by circumstances beyond its reasonable control ("Force Majeure Event"), including but not limited to:

Acts of God, natural disasters, floods, earthquakes, or other natural calamities;

Pandemic, epidemic, or public health emergency;

War, armed conflict, terrorism, riot, or civil unrest;

Actions or regulations of any governmental authority;

Power failures, internet or telecommunications outages;

Industrial disputes or strikes affecting third-party service providers.

The affected party shall notify the other party in writing as soon as reasonably practicable after the occurrence of a Force Majeure Event, specifying the nature, expected duration, and likely impact of the event. The affected party shall use all reasonable endeavours to resume performance as soon as the Force Majeure Event ceases. If a Force Majeure Event continues for more than 60 (sixty) days, either party may terminate the relevant agreement by providing 7 (seven) days' written notice.

12. Dispute Resolution

12.1 Amicable Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, or the breach, termination, or invalidity thereof ("Dispute"), the parties shall first attempt to resolve the Dispute amicably through good-faith negotiations. Either party may initiate this process by delivering a written notice of Dispute to the other party, setting out the nature of the Dispute and the relief sought.

12.2 Arbitration

If the Dispute is not resolved within 30 (thirty) days of the written notice referred to in Clause 12.1 (or such extended period as mutually agreed in writing), either party may refer the Dispute to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time).

Arbitrator: The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. If the parties cannot agree on the appointment within 15 days of a request, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.

Seat and Venue: The seat and venue of arbitration shall be Bengaluru, Karnataka, India.

Language: The proceedings shall be conducted in English.

Award: The award of the arbitrator shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

Costs: Each party shall bear its own costs of arbitration unless the arbitrator otherwise directs.

12.3 Interim Relief

Notwithstanding Clauses 12.1 and 12.2, either party shall be entitled to seek urgent interim or injunctive relief from a court of competent jurisdiction to prevent or restrain any actual or threatened breach of these Terms and Conditions, without the requirement to post any bond or other security.

13. Governing Law and Exclusive Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Subject to the Dispute Resolution mechanism set out in Clause 12, the parties irrevocably submit to the exclusive jurisdiction of the courts located at Bengaluru, Karnataka, India, for the resolution of any dispute or claim arising out of or in connection with these Terms and Conditions.

14. General Provisions

14.1 Severability

If any provision of these Terms and Conditions is held by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The modification shall reflect, to the greatest extent possible, the original intent of the parties. If such modification is not possible, the relevant provision shall be deemed deleted. The invalidity or unenforceability of any provision shall not affect or impair the validity, legality, or enforceability of any other provision of these Terms and Conditions, which shall remain in full force and effect.

14.2 Specific Performance

The parties acknowledge and agree that a breach of certain provisions of these Terms and Conditions — including but not limited to provisions relating to intellectual property, confidentiality, and the restrictions on use of the Website — may cause irreparable harm and damage to Epicure Robotics Pvt. Ltd. for which monetary compensation would be an inadequate remedy.

Accordingly, in addition to any other rights or remedies available at law or in equity, Epicure Robotics Pvt. Ltd. shall be entitled to seek and obtain an order for specific performance or other equitable relief (including injunctions) to enforce such provisions without being required to prove actual or special damages, or to provide any bond, security, or other undertaking.

14.3 Injunctive Relief

Notwithstanding any other provision of these Terms and Conditions, including the dispute resolution mechanism set out in Clause 12, either party shall be entitled to seek urgent interim or permanent injunctive relief, a temporary restraining order, or other equitable relief from a court of competent jurisdiction, without prejudice to any other rights and remedies available to it:

To prevent, restrain, or remedy any actual or threatened breach of these Terms and Conditions;

To protect confidential or proprietary information; or

To protect intellectual property rights.

Such application may be made without notice to the other party where the circumstances so require, and without the necessity of proving actual damages or providing a bond or other security.

14.4 Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other policies published on the Website, constitute the entire agreement between You and Epicure Robotics Pvt. Ltd. with respect to Your use of the Website and supersede all prior agreements, representations, warranties, and understandings, whether oral or written, relating to the subject matter hereof.

14.5 Waiver

No failure or delay by Epicure Robotics Pvt. Ltd. in exercising any right or remedy provided under these Terms and Conditions or by law shall constitute a waiver of that right or remedy, nor shall it preclude or restrict any further exercise of that or any other right or remedy.

Epicure Robotics Pvt. Ltd. reserves the right to amend these Terms and Conditions at any time by publishing the revised version on the Website and updating the "Last updated" date. Your continued use of the Website following the posting of amended Terms and Conditions constitutes Your acceptance of such amendments.
